Mermaid Maritime has established a new Nigerian subsea joint venture with Marine Platforms Limited as the two companies move to pursue offshore and subsea opportunities in Nigeria’s oil and gas industry.
The new company, named Mermaid Subsea Services Limited, is designed to provide a platform through which the partners can directly pursue subsea work for TotalEnergies Nigeria and other oil and gas operators active in the country.
The partnership brings together the international subsea capabilities of Mermaid Maritime with the Nigerian operational experience of Marine Platforms, a company that has provided subsea engineering and related oilfield services for more than two decades.
Under the ownership structure announced for the new company, Marine Platforms will hold a 51 per cent stake, while Mermaid Subsea Oil and Gas Services, a wholly owned subsidiary of Mermaid Maritime, will hold the remaining 49 per cent.
The venture is intended to operate within Nigeria’s local content, regulatory and contracting requirements while providing services to companies involved in offshore energy activities.
NEW COMPANY TARGETS NIGERIAN OFFSHORE MARKET
Mermaid Subsea Services has been established specifically to pursue subsea opportunities in Nigeria.
The company will seek to work with TotalEnergies Nigeria and other operators that require subsea engineering, installation, inspection, remotely operated vehicle support and related offshore services.
Nigeria has a substantial offshore oil and gas industry, with production activities requiring specialised equipment and technical services beneath the surface of the sea.
Subsea operations can include the installation, inspection, maintenance and repair of underwater infrastructure associated with oil and gas projects.
By creating a company specifically focused on the Nigerian market, the partners are positioning themselves to participate directly in these activities rather than relying solely on international contracting arrangements.
The ownership structure also gives the Nigerian partner majority control of the new company, while the international partner contributes its specialised subsea experience and capabilities.
MARINE PLATFORMS BRINGS LOCAL EXPERIENCE
Marine Platforms Limited has operated in Nigeria since 2001 and provides a range of services to the oil and gas sector.
Its activities include subsea engineering, procurement, installation and construction services, as well as remotely operated vehicle support, well services and vessel chartering.
The company's existing experience in Nigeria provides the new venture with knowledge of the country's operating environment and regulatory requirements.
That local experience is particularly relevant to offshore oil and gas projects because companies working in the sector must comply with Nigerian regulations and local content requirements.
The partnership therefore combines an established Nigerian oilfield services company with an international subsea specialist.
MERMAID CONTRIBUTES SUBSEA CAPABILITIES
Mermaid Subsea Oil and Gas Services, the Mermaid Maritime subsidiary participating in the venture, specialises in subsea services.
The company's involvement gives the new Nigerian operation access to the wider technical capabilities and experience of the Mermaid group.
Subsea work requires specialised equipment and personnel because operations take place underwater and often involve complex infrastructure associated with offshore energy production.
The partnership is intended to create a structure capable of responding directly to opportunities in Nigeria while drawing on Mermaid's existing technical expertise.
Mermaid Maritime said its investment in the new venture would be funded from its internal resources.
TOTALENERGIES NIGERIA AMONG TARGET CUSTOMERS
The new company is expected to pursue contracts with TotalEnergies Nigeria as well as other oil and gas operators.
TotalEnergies is one of the major international energy companies operating in Nigeria, with activities spanning oil and gas production and related energy infrastructure.
Subsea contractors can play an important role in supporting offshore projects because underwater equipment requires specialised inspection, maintenance and installation services throughout the life of a project.
The creation of Mermaid Subsea Services therefore gives the partners a dedicated corporate vehicle through which they can seek such contracts.
The establishment of the company does not mean that it has already secured a specific contract with TotalEnergies Nigeria. Rather, the stated purpose of the venture is to pursue subsea work for TotalEnergies and other operators.
NIGERIAN LOCAL CONTENT REQUIREMENTS
Local content is an important part of Nigeria's oil and gas operating framework.
The policy framework is designed to increase Nigerian participation in the country's petroleum industry by encouraging the use of local companies, personnel, services and expertise.
The structure of Mermaid Subsea Services reflects this environment, with Marine Platforms holding the majority stake in the new company.
The partners said the venture is intended to enable direct operational engagement with oil and gas companies while meeting Nigerian local content, regulatory and contracting requirements.
For Nigerian service providers, partnerships with international companies can provide opportunities to access specialised technology, expertise and international operating experience.
For international companies, working through a Nigerian partnership can provide greater access to local knowledge and business relationships.
₦100 MILLION SHARE CAPITAL
Mermaid Subsea Services Limited has issued and paid-up capital of ₦100 million.
The amount represents the initial paid-up capital structure of the new company and is separate from the value of any future contracts or projects the venture may pursue.
Mermaid Maritime said it would fund its investment from internal resources.
The company also stated that the transaction was not expected to have a material impact on its net tangible assets or earnings per share during the current financial year.
This indicates that the establishment of the Nigerian venture is being treated as a strategic expansion rather than a transaction expected to significantly alter Mermaid Maritime's immediate financial results.
The longer-term financial impact will depend on the contracts the new company secures and the level of subsea activity it eventually undertakes.
OPPORTUNITIES IN NIGERIA'S OFFSHORE SECTOR
Nigeria's offshore petroleum industry continues to require specialised technical services as operators maintain existing infrastructure and develop new projects.
Subsea infrastructure can include pipelines, underwater production systems, control equipment and other installations that require regular inspection and maintenance.
The technical complexity of these operations creates demand for companies with specialised vessels, remotely operated systems, engineering personnel and offshore expertise.
A dedicated Nigerian joint venture could therefore allow Mermaid Maritime and Marine Platforms to compete for a wider range of contracts in this market.
The partners will still need to secure individual contracts and meet the technical and commercial requirements of oil and gas operators before the venture can translate its formation into significant project activity.
ROLE OF REMOTELY OPERATED VEHICLES
Remotely operated vehicles, commonly known as ROVs, are an important part of modern subsea operations.
These systems allow specialised teams to inspect and work on underwater infrastructure without requiring divers to perform every task directly.
Marine Platforms already provides ROV support as part of its oilfield services.
The inclusion of this capability within the wider partnership could support work involving underwater inspection, maintenance and other subsea activities.
ROV technology is particularly useful in deeper waters and in environments where direct human intervention can be difficult or hazardous.
Combining ROV capabilities with engineering and offshore support services gives subsea companies the ability to undertake a broader range of projects.
POTENTIAL BENEFITS FOR THE NIGERIAN OILFIELD SERVICES INDUSTRY
The creation of the joint venture could create opportunities for Nigerian participation in specialised offshore services.
Partnerships between local and international companies can facilitate the transfer of technical knowledge and expose local personnel and businesses to international operating practices.
If the venture secures contracts, its activities could also create demand for supporting services within Nigeria's wider maritime and oilfield supply chain.
These could include logistics, vessel support, equipment supply, engineering services and other specialised activities connected to offshore operations.
The actual economic impact, however, will depend on the volume and value of contracts eventually secured by Mermaid Subsea Services.
COMPETITION FOR OFFSHORE CONTRACTS
Nigeria's oil and gas service industry includes both local companies and international firms competing for contracts.
The new venture enters this market with a combination of local ownership and international subsea expertise.
Marine Platforms brings its Nigerian operating history and knowledge of local requirements, while Mermaid brings specialised subsea experience.
The partnership will nevertheless have to compete on technical capability, cost, safety standards, operational performance and compliance when bidding for projects.
The formation of the company is therefore the beginning of a commercial expansion rather than an indication that future contracts are guaranteed.
BROADER ENERGY-SECTOR CONTEXT
Nigeria has been seeking to maintain investment in its oil and gas sector while increasing local participation in petroleum-related activities.
Offshore production remains an important component of the country's petroleum industry, and the maintenance of offshore infrastructure requires specialised service providers.
The establishment of Mermaid Subsea Services comes within that wider environment.
For international investors and service companies, Nigeria's market provides access to a significant oil and gas industry, but operating successfully requires familiarity with local regulations and contracting procedures.
The new joint venture has been structured around those requirements.
WHAT THE PARTNERSHIP MEANS
For Mermaid Maritime, the partnership creates a dedicated presence for pursuing subsea opportunities in Nigeria.
For Marine Platforms, the arrangement provides access to the technical resources and international experience of a specialised subsea company.
For Nigeria's oil and gas industry, the new company adds another potential provider of subsea engineering and offshore services.
Its success will ultimately depend on whether it can convert the partnership into contracts and execute those projects efficiently.
The company has been established with an initial paid-up capital of ₦100 million, while Mermaid Maritime has indicated that its investment will come from internal resources.
NEXT STAGE FOR THE NEW COMPANY
The immediate task for Mermaid Subsea Services will be to pursue commercial opportunities with TotalEnergies Nigeria and other oil and gas operators.
The partners will need to demonstrate the technical, operational and regulatory capabilities required for individual projects.
The company's majority Nigerian ownership is also significant because it aligns its structure with the local content environment in which oil and gas contractors operate.
If the venture secures subsea contracts, its activities could extend beyond the two founding companies to involve Nigerian workers, suppliers and other service providers.
The extent of that impact will become clearer as the company begins operations and announces specific projects.
A NEW PLAYER IN NIGERIA'S SUBSEA MARKET
The establishment of Mermaid Subsea Services Limited marks a new partnership between a Nigerian oilfield services company and an international subsea specialist.
With Marine Platforms holding 51 per cent and Mermaid Subsea Oil and Gas Services holding 49 per cent, the venture has been structured around Nigerian majority ownership while incorporating international technical expertise.
The company will pursue subsea work for TotalEnergies Nigeria and other oil and gas operators and is intended to meet Nigeria's local content, regulatory and contracting requirements.
Its formation adds another company to Nigeria's specialised offshore services market at a time when operators continue to require technical support for subsea infrastructure.
The immediate commercial significance of the venture will depend on the contracts it secures and the projects it eventually undertakes.
For now, the partnership establishes a new platform through which Marine Platforms and Mermaid Maritime can jointly pursue opportunities in Nigeria's offshore oil and gas industry.
